Royalty Free License Agreement

This Royalty Free License Agreement ("Agreement") is entered into between Licensee, located at [Address] ("Licensee") and Licensor, located at [Address] ("Licensor"). This Agreement governs the terms under which Licensor grants Licensee the right to use certain digital goods.

1. License Grant
   
   Subject to the terms and conditions of this Agreement, Licensor hereby grants Licensee a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute the digital goods specified in Exhibit A ("Digital Goods") for [specified purpose(s)].


2. Permitted Uses

3. Restrictions

4. Ownership

5. Warranty Disclaimer
   
   THE DIGITAL GOODS ARE PROVIDED "AS IS," WITHOUT ANY WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. LICENSOR DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.


6. Limitation of Liability
   
   IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THE USE OR PERFORMANCE OF THE DIGITAL GOODS.


7. Termination
   
   Either party may terminate this Agreement upon written notice if the other party breaches any material term of this Agreement and fails to cure such breach within [number] days of receiving written notice thereof.


8. Governing Law
   
   This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction].


9. Entire Agreement
   
   This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether oral or written.
